By accessing or using bioprorx.com (the "Website"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website. 02 Scope & Relationship to Other Agreements These Terms apply to general visitors and prospective customers using the Website. Authorized users of the BioProRx™ platform are subject to additional, controlling agreements: The Provider Subscription & Services Agreement (or equivalent master services agreement) between BioProRx™ and the subscribing practice or organization. A Business Associate Agreement (BAA) for the handling of Protected Health Information. The applicable Order Form specifying subscription term, fees, and authorized users. To the extent of any conflict between these Terms and the foregoing platform agreements with respect to the platform itself, the platform agreements control. These Terms continue to govern Website use. 03 Eligibility You must be at least 18 years old and capable of entering into a binding contract to use the Website. The Website is intended for healthcare professionals, practice administrators, and authorized organizational representatives. The Website is not directed to patients, and informational content on the Website is not intended for use by patients in making medical decisions. 04 Permitted Use of the Website You may access and view the Website for lawful informational purposes related to evaluating, purchasing, or supporting the BioProRx™ platform. You may submit inquiries through provided contact methods. 05 Prohibited Conduct You agree not to: Use the Website in violation of any applicable law or regulation. Attempt to gain unauthorized access to the Website, the platform, or any related systems, accounts, or networks. Reverse engineer, decompile, scrape, or systematically extract content from the Website except as expressly permitted. Introduce viruses, malware, or other harmful code, or interfere with the operation, security, or integrity of the Website. Use the Website to transmit unsolicited communications or to harvest personal information. Misrepresent your identity, affiliation, or credentials. Submit any Protected Health Information through the Website's public contact forms; PHI must be transmitted only through authorized platform channels under an executed BAA. 06 Intellectual Property The Website and its contents—including text, graphics, logos, the BioProRx™ name and brand identity, the "The Approval Engine" tagline, software, and design elements—are owned by BioProRx™ or its licensors and are protected by copyright, trademark, and other intellectual property laws. No license or right is granted by your use of the Website except the limited right to view the Website for its intended informational purpose. All other rights are reserved. You may not copy, modify, distribute, publicly display, or create derivative works from any part of the Website without our prior written permission. 07 No Medical Advice; Decision Support Only The Website and the BioProRx™ platform provide administrative, workflow, and clinical decision-support information related to prior authorization, formulary, benefits, and therapy selection. The Website and platform do not provide medical advice, diagnosis, or treatment recommendations, and are not a substitute for the independent clinical judgment of a licensed healthcare professional. Healthcare providers using the platform retain full and sole responsibility for clinical decisions, including the appropriateness of therapy selection, dosing, monitoring, and patient care. Drug intelligence, formulary, payer-policy, and benefits information presented through the platform may be incomplete, may not reflect the most recent updates, and must be independently verified before being relied upon for any clinical or coverage decision. BIOPRORX™ DOES NOT WARRANT THAT THE WEBSITE OR ITS CONTENT WILL BE ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY INFORMATION ACCESSED THROUGH THE WEBSITE IS USED AT YOUR OWN RISK. NOTHING IN THIS SECTION LIMITS ANY WARRANTIES OR SERVICE-LEVEL COMMITMENTS EXPRESSLY PROVIDED TO SUBSCRIBING PRACTICES OR ORGANIZATIONS UNDER THE PROVIDER SUBSCRIPTION & SERVICES AGREEMENT. 10 Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIOPRORX™ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE WEBSITE, EVEN IF BioProRX™ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BIOPRORX™'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100). LIABILITY ARISING UNDER THE PROVIDER SUBSCRIPTION & SERVICES AGREEMENT IS GOVERNED BY THE LIMITATION-OF-LIABILITY PROVISIONS OF THAT AGREEMENT. 11 Indemnification You agree to defend, indemnify, and hold harmless BioProRx™ and its officers, directors, employees, contractors, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Website, (b) your violation of these Terms, (c) your violation of any applicable law or third-party right, or (d) your submission of any Protected Health Information through the Website in violation of Section 05. 12 Governing Law & Venue These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Website shall be the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts. 13 Changes to These Terms We may modify these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Material changes will be communicated by posting a notice on the Website.
